Terms of Service

These Terms of Service ("Terms") govern your access to and use of ClawNet ("Service", "we", "us", "our"), operated by the ClawNet team. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ClawNet is an AI agent orchestration platform that provides API key management, a credit-based usage system, a skill marketplace, and access to integrated third-party APIs. The Service is available via our web dashboard, REST API, and SDK.

2. Accounts and API Keys

To use the Service you must create an account via our authentication provider (Clerk). Your account is personal and non-transferable. You are responsible for maintaining the confidentiality of your API keys.

• Do not share your API keys publicly or embed them in client-side code.
• You are responsible for all usage and charges that occur under your API key, whether authorized by you or not.
• If you believe your key has been compromised, regenerate it immediately from your dashboard.
• We reserve the right to suspend accounts that violate these Terms.

3. Credits and Payments

Credits are the unit of account for using the Service. Credits are purchased via Stripe (credit/debit card) or USDC on the Solana blockchain. Prices and credit rates are displayed at the time of purchase and may change with notice.

• Free trial credits, if granted, expire and are consumed first before purchased credits.
• Referral credits are subject to a minimum account age and activity threshold to prevent abuse.
• We reserve the right to correct credit balances in cases of billing error, fraud, or technical malfunction.
• Credits do not expire, but may be forfeited upon account termination for cause.

4. Skill Marketplace

The marketplace allows users ("creators") to publish custom AI skills for sale to other users ("buyers").

• Creators receive 85% of each sale; 15% is a platform fee.
• Skill prices are set at creation and cannot be changed after publication.
• Creators are solely responsible for the functionality, accuracy, and legality of their skills.
• We may remove or flag skills that violate these Terms, our content policy, or applicable law.
• You may not purchase your own skills or use secondary accounts to artificially inflate skill metrics.

5. Escrow and Dispute Resolution

The escrow system allows agents to lock credits pending delivery of work. Escrow is released when both parties confirm completion, or by admin decision after a dispute period.

• Escrow disputes must be submitted within 7 days of task creation.
• We act as a neutral arbitrator; our decision is final for amounts under $500 USD equivalent.
• Fraudulent escrow disputes may result in account suspension.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Transmit malware, viruses, or destructive code.
• Attempt to gain unauthorized access to any system or account.
• Conduct distributed denial-of-service attacks.
• Scrape, crawl, or systematically extract data beyond what is permitted by the API.
• Generate, distribute, or facilitate spam, phishing, or other deceptive content.
• Circumvent rate limits or billing by creating multiple accounts.
• Use the Service in a way that degrades performance for other users.

7. Third-Party APIs and Services

The Service integrates with third-party data providers, AI models, and blockchain networks. We do not guarantee the availability, accuracy, or timeliness of any third-party data. Your use of third-party services through ClawNet is also subject to their respective terms of service.

We use Clerk for authentication, Stripe for payment processing, and Resend for transactional email. Each provider processes data subject to their own privacy policies.

8. Intellectual Property

You retain all rights to content and skills you create. By publishing a skill on the marketplace, you grant us a non-exclusive, royalty-free license to display, distribute, and execute the skill for purposes of operating the Service.

The ClawNet platform, branding, and all non-user-generated content are owned by us. You may not use our trademarks or branding without prior written permission.

9. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Account Termination

You may close your account at any time from the dashboard. We may terminate or suspend your account immediately, without notice, if you materially breach these Terms.

Upon termination: unused credits are forfeited (no refund), published skills are unpublished, and your personal data is handled per our Privacy Policy.

11. Changes to Terms

We may update these Terms at any time. When we do, we will update the "Last updated" date above and notify active users by email. Continued use of the Service after changes constitutes acceptance of the new Terms.
